1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and EasyKare ("EasyKare," "we," "us," or "our").

These Terms govern your access to and use of EasyKare’s website, mobile applications, and related digital services (collectively, the “Services”). These Terms apply to all users, including:

  • "Patients" (or their legal guardians) accessing the Services for their personal use.
  • "Doctors" (qualified healthcare professionals) using the Services for clinic management.
  • "Clinic Staff" (such as receptionists) authorized to use the Services on behalf of a Doctor or clinic.

You must read and affirmatively accept these Terms and our Privacy Policy before creating an account or using the Services. By checking "I Agree" (or a similar acceptance method), you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree with these Terms, you must not access or use our Services.

2. Eligibility and User Accounts

To access or use our Services, you must be at least 18 years of age and capable of entering into a binding contract. If you are creating an account on behalf of a minor (as a Patient), you represent that you are their legal guardian and consent to these Terms on their behalf.

You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security and confidentiality of your account credentials.
  • Be solely responsible for all activities that occur under your account.
  • Immediately notify EasyKare at care@easykare.in of any unauthorized access or security breach.

3. Description of Services

EasyKare provides a technology platform designed to simplify outpatient clinic operations. Our Services include, but are not limited to:

  • AI-powered consultation time estimation.
  • Structured patient symptom report generation.
  • Prescription digitization and management.
  • Digital doctor and clinic registration.
  • Appointment and patient session management.
  • Secure data storage and communication.

The Services are provided on an “as is” and “as available” basis. EasyKare does not guarantee that the Services will be uninterrupted, error-free, or perpetually secure.

4. User Responsibilities & Conduct

You agree to use the Services only for lawful purposes and in compliance with all applicable laws, including medical regulations and data protection laws (such as the DPDP Act).

For Healthcare Professionals (Doctors & Clinic Staff):

You represent and warrant that you are a qualified healthcare professional or an authorized staff member. You are solely responsible for:

  • All medical judgments, diagnoses, and treatments.
  • Ensuring that any medical content you create, upload, or share complies with all applicable professional and ethical standards (including the Indian Medical Council (Professional Conduct, Etiquette and Ethics) Regulations).
  • Obtaining all necessary patient consents required for your practice.
  • Verifying the accuracy of all information (including AI-generated reports) before using it for clinical purposes.

Prohibited Conduct:

You agree not to: (a) reverse-engineer, decompile, or attempt to extract the source code of the Services; (b) upload any malicious code, viruses, or harmful data; (c) use the Services to send unsolicited messages (spam); (d) impersonate any person or entity or provide false information; or (e) interfere with or disrupt the integrity of the Services or its data.

5. Privacy and Data Protection

Your privacy is paramount. Our collection, use, and protection of your Personal Data (including Health Data) are governed by our Privacy Policy.

The Privacy Policy details how we handle your data, why we collect it, and how we obtain your consent in compliance with the Indian DPDP Act and other stringent data protection standards. You must review the Privacy Policy in full, as it is a core part of your agreement with us.

6. Service Communications

As part of the Services, we may send you service-related communications (e.g., appointment reminders, OTPs, billing notices, or platform updates) via email, SMS, or WhatsApp.

We use third-party Data Processors (e.g., Brevo, Message Central, Meta (WhatsApp), Sendwo) to deliver these communications, as detailed in our Privacy Policy. While you may be able to manage marketing preferences, you cannot opt-out of essential administrative, security, or legal notifications.

7. Medical Disclaimer & No Doctor-Patient Relationship

EasyKare is a technology platform only. We do not provide medical advice, diagnosis, or treatment. The Services are intended to assist with clinic workflow and data management.

Any AI-generated content, suggestions, or estimates (such as consultation duration or symptom structuring) are informational aids only. They are not a substitute for professional medical judgment.

All medical decisions, diagnoses, and treatments must be made by a qualified healthcare professional. Your use of the Services does not create a doctor-patient relationship between you and EasyKare.

8. Fees and Payment

Certain features of the Services may require payment. You agree to pay all applicable fees, charges, and taxes for the Services you purchase, as described on our pricing page or in your specific service agreement. All fees are non-refundable except as required by law.

9. Intellectual Property

All trademarks, logos, service names, software, content, and underlying technology made available through the EasyKare platform are the exclusive intellectual property of EasyKare Technologies Private Limited or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose, subject to these Terms.

10. Third-Party Services & Links

Our Services are integrated with third-party platforms (e.g., Google Cloud, Brevo) and may contain links to third-party websites. We are not responsible for the practices, content, or availability of these third-party services. Your use of them is at your own risk and subject to their respective terms and policies.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EASYKARE, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, GOODWILL, OR FOR MEDICAL MALPRACTICE) ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO EASYKARE IN THE SIX (6) MONTHS PRIOR TO THE CLAIM, OR (B) ONE THOUSAND INDIAN RUPEES (₹1,000).

12. Indemnification

You agree to defend, indemnify, and hold harmless EasyKare and its officers, directors, and employees from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any claim of medical malpractice, professional negligence, or patient data breach arising from your (as a Doctor or Clinic Staff) use of the Services.

13. Suspension and Termination

We reserve the right to suspend or terminate your account and access to the Services, at our sole discretion, without notice or liability, if: (a) You violate these Terms or our Privacy Policy; (b) You engage in fraudulent, unethical, or harmful conduct; (c) You fail to pay applicable fees in a timely manner; or (d) We are required to do so by law or for urgent system maintenance.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, or validity thereof, shall be referred to and finally resolved by arbitration in Mumbai, Maharashtra, in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English by a single arbitrator mutually appointed by the parties.

Subject to the foregoing arbitration clause, the courts in Mumbai, Maharashtra, India shall have exclusive jurisdiction over any proceeding.

15. Modifications to Terms

We may update these Terms from time to time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last Updated" date, and/or by sending a notification to your registered email address.

Your continued use of the Services after the effective date of the new Terms constitutes your acceptance of the changes.

16. General Provisions

Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and EasyKare regarding the Services.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
